How Covibe governs your use of our co-working spaces, digital platforms, and services in accordance with Indian law.

Section 01

Introduction & Acceptance

Covibeibe Co-Working Space ("Covibe", "we", "us", "our") operates a co-working facility and associated digital platforms designed to serve independent professionals, startups, and enterprises seeking collaborative work environments.

By accessing our website, booking a desk, or otherwise using our facilities and services ("Services"), you ("User", "You") agree to be bound by these Terms & Conditions. No physical or digital signature is required for these Terms to constitute a binding agreement between You and Covibe.

Important notice

We reserve the right to modify these Terms at any time without prior written notice. Continued use of our Services following any changes constitutes your acceptance of the revised Terms. Please review this document periodically.

By using our Website or Services, you also agree to comply with the Information Technology Act 2000, IT (Intermediary Guidelines) Rules 2011, and all applicable laws in force in India. You expressly consent to receive service communications, newsletters, and updates from us via SMS and email. You may opt-out at any time by writing to us.

Section 02

Third-Party Value Partners

Covibe collaborates with independent service providers including mentors, advisors, investors, and specialist firms ("Third-Party Value Partners" or "TPVPs") to enrich the support available to our members.

  • TPVPs operate independently; Covibe bears no responsibility for their acts or omissions.
  • You authorise Covibe to share relevant information with TPVPs solely for the purpose of delivering requested Services.
  • All interactions with TPVPs are at your own discretion and risk.
  • Covibe shall not mediate or be held liable for any disputes, losses, or claims arising from TPVP engagements.
Section 03

Commercial Terms

Covibe reserves the right to charge fees for any or all Services offered. Applicable charges will be communicated to you via a separate agreement, letter, email, or written notice prior to billing. Continued use of a paid Service constitutes acceptance of the applicable fees.

Section 04

Acceptable Use

You agree to use Covibe's platforms and facilities in full compliance with applicable law and these Terms. The following conduct is strictly prohibited:

  • Using the platform for any unlawful purpose, including copyright infringement or fraud.
  • Attempting unauthorised access to our systems, servers, or networks by any means (hacking, password mining, etc.).
  • Reverse-engineering, adapting, or reformatting any part of our platform without written permission.
  • Probing or testing the vulnerability of our systems or security measures.
  • Making defamatory, denigrating, or reputation-damaging statements about Covibe or its affiliates.
  • Interfering with the proper operation of the Website or any transactions thereon.
  • Impersonating another individual, entity, or falsely representing your identity.
  • Soliciting, advertising to, or spamming other users within our platforms.
  • Posting content that is harmful, abusive, discriminatory, obscene, or otherwise objectionable.
  • Transmitting viruses, malware, or any code designed to damage or intercept data.
  • Submitting false, misleading, or commercially motivated reviews or feedback.
  • Accessing another user's account or data without authorisation.
Enforcement

CoVibe reserves the right to remove any content that violates these guidelines, and to suspend or permanently block users who repeatedly or seriously breach these Terms.

Section 05

Third-Party Software

Our Services may incorporate third-party software components. Any attempt to isolate, reverse-engineer, or use such components outside the scope permitted by the respective third-party licence is prohibited. You agree to indemnify Covibe fully for any liability arising from such unauthorised use, subject to applicable law.

Section 06

Content Rights

All content on the Covibe platform — including text, graphics, user interfaces, photographs, trademarks, logos, and artwork ("Content") — is the exclusive property of Covibe or its licensors. All rights are reserved.

You may not copy, reproduce, publish, distribute, commercially exploit, or otherwise use any Content without Covibe's express written permission. Permitted personal, non-commercial downloading of information is subject to the following conditions:

  1. All proprietary notices must be retained in all copies.
  2. Content may only be used for personal, non-commercial purposes.
  3. Content may not be posted on any networked platform or broadcast in any media.
  4. No modifications may be made to the downloaded material.
  5. No additional representations or warranties may be made regarding the content.

Disclaimer & Limited Liability

USE OF THE PLATFORM AND SERVICES IS ENTIRELY AT YOUR OWN RISK. COVIBE PROVIDES THE PLATFORM ON AN "AS IS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, COVIBE DISCLAIMS ALL WARRANTIES — EXPRESS OR IMPLIED — INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, FITNESS FOR PURPOSE, AVAILABILITY, AND NON-INFRINGEMENT. COVIBE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PLATFORM OR SERVICES.

Covibe is not liable for acts or omissions of Third-Party Value Partners, the quality or suitability of any Services rendered by them, or any loss arising from reliance on third-party reviews or information posted on the platform.

While Covibe takes reasonable care to ensure accuracy of published information, errors may exist for which we accept no liability. We reserve the right to modify or withdraw any part of the platform or its content at any time without notice.

Section 09

Indemnity

You agree to indemnify, defend, and hold Covibe and its officers, directors, employees, and agents harmless from and against any and all claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from or related to:

  • Your use or misuse of the platform or Services.
  • Your violation of any provision of these Terms.
  • Any activity conducted through your account, whether by you or any third party.
  • Any transaction you enter into as a result of introductions facilitated by the platform.
  • Content you post or transmit via the platform.
  • Any infringement of intellectual property rights in your submissions.
Section 10

Rights of Covibe

Covibe reserves the right to investigate suspected fraudulent, misleading, or abusive activity. Where Covibe has reasonable suspicion of such activity, it may, at its sole discretion and without notice:

  • Suspend, restrict, or permanently cancel a user's account and access to Services.
  • Disqualify the user and related accounts from future use of the platform.
  • Initiate civil or criminal proceedings as appropriate.
  • Recover amounts due and take such other legal action as Covibe deems necessary.
Section 11

Intellectual Property

All registered and unregistered intellectual property rights — including patents, copyrights, trademarks, and trade secrets — in the Covibe platform and its content are the sole property of Covibe. You agree not to copy, reproduce, upload, transmit, or challenge any such intellectual property rights anywhere in the world.

Section 12

User Declarations & Acknowledgements

By using the CoVibe platform, you acknowledge and agree that:

  • Some Services are offered by independent Third-Party Value Partners, not by Covibe directly.
  • Covibe will not mediate disputes between you and any TPVP.
  • Covibe makes no representations or guarantees regarding the quality, pricing, or outcomes of TPVP services.
  • Covibe shall not be held liable for fraud, misconduct, or negligence of any TPVP.
  • Where required, you will enter into separate written agreements for specific Services.
  • Should you achieve success through Covibe's support, you agree to acknowledge Covibe in relevant success communications.
Section 13

Confidentiality of Information

Confidential business information shared with Covibe to access Services is governed by our separate Confidentiality and Data Usage Policy. We encourage you to review that document carefully.

Feedback policy

Any feedback or suggestions you submit to Covibe are considered non-confidential. Covibe may use such feedback freely and without any obligation of compensation or confidentiality toward you.

Section 14

Privacy

Covibe treats the protection of your personal and sensitive information as a core responsibility. Information you provide — including any sensitive financial data — is stored and processed on systems protected by physical and technological security measures in accordance with the Information Technology Act 2000 and applicable Rules.

Section 15

Notices & Service Messages

Covibe may communicate with you through any of the following channels:

  • Banner notifications within the platform.
  • Email to the address registered on your account.
  • SMS or other communication channels you have provided.

You consent to receive such communications. You may opt-out at any time by emailing us at the contact address below.

Section 16

Governing Law

These Terms are governed by and construed in accordance with the laws of India. You agree to submit to the exclusive jurisdiction of the courts situated in Hyderabad, Telangana, India for the resolution of any disputes arising from these Terms or your use of Covibe's Services.

Section 17

Force Majeure

Covibe shall not be held liable for any failure or delay in providing Services caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, governmental actions, civil unrest, pandemics, or telecommunications failures. Our obligations shall be suspended for the duration of such events.

Section 18 – 19

Severability & Dispute Resolution

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be severed to the minimum extent necessary, and the remaining Terms shall continue in full force and effect.

All disputes arising from or relating to these Terms shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration panel shall comprise three arbitrators — one appointed by each party, and a third appointed by the two party-appointed arbitrators. Proceedings shall be conducted in English at Hyderabad, India.

Section 20

Miscellaneous

  • These Terms, together with all referenced documents and policies, constitute the entire agreement between you and Covibe with respect to the subject matter hereof.
  • You may not assign, transfer, or subcontract any of your rights or obligations under these Terms without Covibe's prior written consent. Covibe may freely assign its rights.
  • Nothing in these Terms creates any employment, partnership, joint venture, or agency relationship between you and Covibe.
  • A failure by either party to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
Section 21

Grievance Mechanism

In accordance with the Information Technology Act 2000 and applicable rules, Covibe has designated a Grievance Officer to address concerns raised by users. If you have any complaints regarding the platform or these Terms, please reach out:
